Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Blueprint.gg ("Blueprint," "the Service," "we," "us," or "our"), a SaaS platform operated by Blueprint.

By creating an account, accessing, or using Blueprint, you agree to be bound by these Terms. If you are using Blueprint on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use Blueprint. If you do not agree to these Terms, do not use the Service.

Definitions

"Service" — The Blueprint.gg web application, APIs, and related services
"Customer" or "you" — The individual or organization that registers for and uses the Service
"Workspace" — A Customer's organizational unit within Blueprint, containing connected ad accounts, team members, and settings
"Authorized Users" — Individuals the Customer invites to access their Workspace (Owners, Managers, Analysts, and Viewers)
"Ad Platform Data" — Campaign performance data, keywords, quality scores, spend metrics, and other information synced from Google Ads, Microsoft Ads, and Meta Ads
"Customer Data" — All data submitted, stored, or generated by the Customer within the Service, including Ad Platform Data
"Free Tier" — The no-cost plan with limited features and ad account capacity
"Pro Plan" — The paid subscription plan with expanded features

Description of Service

Blueprint is a PPC (pay-per-click) management dashboard that connects to Google Ads, Microsoft Ads, and Meta Ads through secure OAuth 2.0 integrations. The Service provides:

Cross-platform campaign performance analytics and reporting
Budget pacing with month-to-date tracking and end-of-month forecasting
AI-powered anomaly detection and optimization insights
Quality Score tracking with historical trends and component breakdowns
Search term analysis and negative keyword management
Team collaboration with role-based access control (Owner, Manager, Analyst, Viewer)

Blueprint is an analytics and management tool. It does not directly create, modify, or delete campaigns, keywords, or ads within your ad platform accounts unless explicitly initiated by you through the Service's interface.

Account Registration & Security

You must provide accurate, current, and complete information during registration
You are responsible for maintaining the confidentiality of your login credentials
You must immediately notify us at [email protected] if you suspect unauthorized access to your account
You may not share login credentials or allow multiple individuals to use a single account
As a Workspace Owner, you are responsible for managing your team's access levels and ensuring Authorized Users comply with these Terms
We reserve the right to suspend or terminate accounts that violate these Terms or exhibit fraudulent activity

Acceptable Use

You agree NOT to:

Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to develop a competing product or service
Resell, sublicense, or provide the Service to third parties as a managed service without written permission
Attempt to gain unauthorized access to Blueprint's infrastructure, other users' accounts, or other workspaces
Use the Service for any illegal purpose or in violation of applicable laws
Circumvent security measures, rate limits, or access controls
Scrape, crawl, or use automated means to access the Service beyond the provided APIs
Interfere with or disrupt the Service's infrastructure or other users' access
Share your login credentials with anyone not authorized as an Authorized User in your Workspace
Violate the terms of service of any connected ad platform (Google Ads, Microsoft Ads, or Meta Ads)
Submit false, misleading, or deceptive information
Use the Service in a manner that generates excessive load (determined at our reasonable discretion)

Ad Platform Compliance

You represent and warrant that you have the necessary rights and authority to connect your ad platform accounts to Blueprint via OAuth 2.0
You are solely responsible for complying with the terms and policies of Google Ads, Microsoft Ads, Meta Ads, and any other connected platform
Blueprint is not responsible for changes to third-party API availability, rate limits, data access policies, or terms of service that may affect the Service's functionality
If a connected ad platform revokes Blueprint's API access or changes its policies, we will make reasonable efforts to adapt but cannot guarantee uninterrupted service
You acknowledge that ad platform data accuracy depends on the data provided by those platforms, and Blueprint is not responsible for inaccuracies in source data

Fees & Billing

Free Tier — Blueprint offers a free plan with limited features (1 connected ad account, 1 platform connection, basic reporting, up to 5 team members). No credit card is required. Every new account receives a one-time 15-day Pro trial with full feature access.
Pro Plan — Priced per connected ad account (currently $75/month per account). Only ad accounts with active campaigns are counted — LSA (Local Service Ads) and inactive accounts are excluded.
Trial Period — New accounts receive 15 days of Pro feature access at no charge. After the trial period ends, the account reverts to Free plan limits. A 7-day grace period is provided before Pro-only data (AI summaries, experiments, placement exclusions) is removed. Ad platform data, campaigns, spend, keywords, and quality scores are never deleted.
Viewer Seats — The Viewer role is free and unlimited on all plans. Viewer seats do not count toward any team member limit.
Billing Cycle — Paid plans are billed monthly in advance.
Auto-Renewal — Subscriptions automatically renew at the end of each billing period unless cancelled at least 30 days before the renewal date.
Payment Processing — Payments are processed by Stripe. We do not store your credit card information directly — it is handled entirely by Stripe in accordance with PCI DSS compliance standards.
Price Changes — We may change pricing with at least 30 days' advance notice. Price changes take effect at the start of your next billing period after the notice period.
Refunds — Fees are non-refundable except as required by applicable law. If you cancel mid-cycle, you retain access until the end of your current billing period.
Taxes — All fees are exclusive of applicable taxes (sales tax, VAT, GST). You are responsible for all taxes associated with your use of the Service, except for taxes based on Blueprint's income.
Late Payment — If payment fails, we will notify you and provide a 7-day grace period. After the grace period, we may suspend access until payment is resolved. We reserve the right to charge interest on overdue amounts at the lesser of 1.5% per month or the maximum rate permitted by law.

Intellectual Property

Blueprint's IP — The Service, including its software, design, logos, documentation, and all related intellectual property, is and remains the exclusive property of Blueprint. These Terms do not grant you any ownership interest in the Service.
License Grant — We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms for your internal business purposes.
Your Data — You retain all rights in and ownership of your Customer Data. Blueprint does not claim ownership of your ad platform data or any content you submit.
Limited License to Us — You grant Blueprint a limited, non-exclusive license to process, store, and display your Customer Data solely as necessary to provide the Service.
Aggregated Data — We may collect and use aggregated, anonymized data derived from your use of the Service for product improvement, benchmarking, and industry analysis. This data will not identify you or your organization.
Feedback — If you provide suggestions, feature requests, or other feedback about the Service, we may use it without obligation or compensation to you.

Confidentiality

Each party agrees to keep the other party's confidential information ("Confidential Information") confidential and not to use it for any purpose outside the scope of these Terms
Confidential Information includes: Customer Data, Ad Platform Data, Blueprint's technical infrastructure details, pricing discussions, and any information marked as confidential
Confidential Information does NOT include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed without use of the disclosing party's information; (d) is rightfully received from a third party without restriction
Either party may disclose Confidential Information if required by law, provided they give reasonable prior notice to the other party (where permitted)

Third-Party Dependencies

The Service relies on third-party APIs and services, including but not limited to Google Ads API, Microsoft Advertising API, Meta Marketing API, and Stripe.

Blueprint is not liable for outages, performance degradation, API changes, rate limit restrictions, data access limitations, or policy changes imposed by these third-party services
Changes to third-party APIs may require us to modify or temporarily suspend features of the Service
We will make commercially reasonable efforts to adapt to third-party changes promptly, but we cannot guarantee uninterrupted compatibility
Third-party services are governed by their own terms and privacy policies. Your use of those services through Blueprint does not create any additional obligations for Blueprint beyond what is stated in these Terms.

Service Availability

Uptime Target — We target 99.9% uptime for the Service, measured monthly, excluding: (a) scheduled maintenance (announced at least 24 hours in advance when reasonably possible); (b) outages caused by third-party services (ad platform APIs, hosting providers, DNS); (c) force majeure events; (d) actions or inactions of the Customer or their Authorized Users
Service Credits — If the Service falls below 99.9% uptime for two or more consecutive calendar months (excluding the exceptions above), you may request a service credit equal to 5% of your monthly fees for each affected month, up to a maximum of 30% of one month's fees. Service credits are applied to future invoices and are not redeemable for cash.
Credit Requests — To request a service credit, email [email protected] within 30 days of the end of the affected month. Include dates and times of the experienced downtime.
Sole Remedy — Service credits are your sole and exclusive remedy for any failure to meet the uptime target.

Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA, INCLUDING AD PLATFORM DATA SYNCED FROM THIRD-PARTY SERVICES

BLUEPRINT IS AN ANALYTICS AND MANAGEMENT TOOL. WE DO NOT GUARANTEE ANY SPECIFIC ADVERTISING RESULTS, RETURN ON AD SPEND, COST SAVINGS, OR BUSINESS OUTCOMES FROM USING THE SERVICE. ADVERTISING PERFORMANCE DEPENDS ON MANY FACTORS OUTSIDE OUR CONTROL.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

a. Exclusion of Damages

NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, LOSS OF AD SPEND OR ADVERTISING BUDGET, OR DAMAGES ARISING FROM RELIANCE ON BLUEPRINT'S ANALYTICS OR RECOMMENDATIONS, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

b. Liability Cap

BLUEPRINT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY YOU TO BLUEPRINT DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED US DOLLARS ($100).

c. Free Tier Cap

IF YOU ARE USING THE FREE TIER AND HAVE NOT PAID ANY FEES, BLUEPRINT'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100).

d. Exceptions

NOTHING IN THESE TERMS LIMITS EITHER PARTY'S LIABILITY FOR: (I) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (II) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (III) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (IV) ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Indemnification

a. Blueprint's Indemnification

We will defend you against any third-party claim that Blueprint's Service infringes a valid patent, copyright, or trademark, and will pay any resulting damages or settlement amounts, provided you: (i) promptly notify us in writing; (ii) give us sole control of the defense; and (iii) provide reasonable cooperation. If the Service is found to infringe, we may, at our option: modify the Service to be non-infringing, obtain a license for you, or terminate your access and refund prepaid fees for the unused portion.

b. Your Indemnification

You will defend, indemnify, and hold harmless Blueprint from any third-party claims arising from: (i) your breach of these Terms; (ii) your violation of applicable laws; (iii) your violation of any connected ad platform's terms of service; (iv) your Customer Data or the content of your advertisements; or (v) unauthorized use of the Service by your Authorized Users.

c. Indemnification Process

The indemnified party must promptly notify the indemnifying party, allow sole control of the defense, and cooperate as reasonably requested.

Termination

By You — You may cancel your subscription and close your account at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period.
By Blueprint (for convenience) — We may terminate these Terms with 30 days' written notice. If we terminate for convenience, we will refund any prepaid fees for the unused portion of your subscription.
By Either Party (for cause) — Either party may terminate immediately if the other party: (a) materially breaches these Terms and fails to cure the breach within 15 days of written notice; or (b) becomes subject to bankruptcy, insolvency, or similar proceedings.

Effect of Termination:

Access to the Service is revoked at the end of the termination effective date
You have 30 days from the termination date to export your Customer Data
After the 30-day export window, we will delete your data in accordance with our Privacy Policy
All outstanding fees become immediately due and payable
Sections that by their nature should survive termination will survive (including Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Dispute Resolution)

Dispute Resolution

Informal Resolution — Before filing any formal proceeding, the parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days after written notice of the dispute
Binding Arbitration — If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in Atlanta, Georgia.
Class Action Waiver — YOU AND BLUEPRINT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.
Small Claims Exception — Either party may bring qualifying claims in small claims court.
EU Users — If you are based in the European Union, European Economic Area, or United Kingdom, you may bring proceedings in the courts of your country of residence.
Equitable Relief — Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction for the protection of intellectual property rights or confidential information.

Export Controls

You agree to comply with all applicable US and international export control and sanctions laws and regulations. You represent that you are not located in, or a resident of, any country subject to US trade sanctions, and that you are not listed on any US government restricted parties list.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, power outages, internet disruptions, third-party API outages or policy changes (including Google Ads, Microsoft Ads, and Meta Ads), cyberattacks, and failures of third-party hosting or infrastructure providers.

Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of law principles. For users not subject to the arbitration clause, the exclusive jurisdiction shall be the state and federal courts located in Fulton County, Georgia.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. Blueprint may assign these Terms freely, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of our assets. Any purported assignment in violation of this section is void.

Changes to Terms

We may modify these Terms from time to time. For material changes, we will provide at least 30 days' advance notice via email or in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may cancel your account in accordance with the Termination section.

General Provisions

Entire Agreement — These Terms, together with the Privacy Policy and any Order Forms or Statements of Work, constitute the entire agreement between you and Blueprint regarding the Service
Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect
Waiver — Failure to enforce any provision does not constitute a waiver of that provision
Notices — Legal notices to Blueprint should be sent to [email protected]. We will send notices to the email address associated with your account.
No Agency — Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Blueprint
Third-Party Beneficiaries — These Terms do not confer any rights on any third party
